Recent Significant Transactions:

Real Estate Transactions-

  • Represented Purchasers in purchase and subsequent lease of a build to suit location for national overnight express company facility involving 1031 exchange and securitized financing.
  • Represented Seller in sale of a two building commercial office complex.
  • Served as lead counsel representing purchaser group in purchase of a large residential condominium project involving substantial repair/condition issues, the assumption of existing securitized financing, partial 1031 exchange, the creation of multiple, new ownership entities and tenancy in common agreement.
  • Served as lead counsel representing purchaser in purchase and renovation of a former brewery site and subsequent sale of existing printing company site, involving reverse 1031 exchange, significant issues concerning condition and renovation of new site, short term lease back of old site, and successive construction and take out loans.
  • Represented purchaser of former filling station site, purchased for assemblage with existing, shopping center site, involving major PST cleanup issues.
  • Represented purchaser in purchase, financing, renovation, and leasing of an historic downtown office building.
  • Represented purchaser in purchase and securitized financing of an historic downtown office building.
  • Represented seller in sale of retail shopping center located in San Antonio, Texas.
  • Has represented clients in several hundred sale, purchase and/or lease transactions involving commercial, industrial and residential properties.

Corporate and Entity Formation, M & A and Restructuring

  • Represented commercial hardware client in acquisition of security systems installation and monitoring company involving exchange of equity, substantial internal control agreements and complex employment agreements.
  • Represented foundry in restructure of extensive multi-state company business through the creation of holding company and multiple subsidiaries.
  • Represented property management company and individual investor in sale and exchange of multiple interests in various entities holding commercial real estate assets.
  • Represented mid size commercial manufacturing client and key principals of client in sale of equity for substantial capital infusion, involving preferred stock, complex indemnification issues and restructuring of employment agreements of key principals.
  • Represented local restaurant chain in restructure of existing ownership entities.
  • Has represented clients in the formation of several hundred new corporate and partnership entities as well as multiple conversions and mergers of various types of foreign and domestic entities.
  • Has represented many clients in the sale or purchase of various types of small businesses.

General Business Matters

  • Has represented numerous small businesses in negotiating, drafting and resolution of disputes involving commercial contracts of all types and in defending and prosecuting adverse claims.
  • Has counseled numerous small businesses on avoiding or minimizing risk, employment matters, fiduciary issues, entity governance issues and general business laws and practices.
  • Has represented many executives and principals in negotiating severance or buy out packages on favorable terms and avoiding litigation.

Mortgage Lending Transactions

  • Has represented financial institutions and prepared loan documents for many multimillion dollar loan transactions in the central Texas area made for varied purposes and uses including subdivision improvements, development and construction of warehouses, condominium projects, apartments and large custom homes, purchase of improved commercial properties of all types, revolving lines of credit for business and investment purposes, and purchase money loans for acquisition of most types of real property.
  • Has prepared hundreds of mortgage loan packages for commercial lenders with broad experience in construction lending.

I have three children. I have extensive experience as a recreational level soccer, basketball and baseball coach and have dutifully attended thousands of my children’s various soccer, basketball and baseball games.
