Kelly Latz is a twenty plus year transactional lawyer representing clients involved in transactions in a broad range of areas, including business and real estate transactions and entity formation, acquisition and restructuring. - Represented clients in the formation and maintenance of several hundred profit and non-profit entities as well as mergers and conversions of various types of entities.
- Represented many clients in stock and asset acquisitions and dispositions.
- Represented business entities from initial organization and capitalization, including private placement.
- Represented numerous clients in contractual documentation, negotiations, and resolution of disputes.
- Counseled numerous businesses on avoiding or minimizing risk, employment matters, fiduciary issues, daily operational issues, entity governance issues, corporate documentation, and general business laws and practices.
- Represented many executives and principals in negotiating severance or buy out packages on favorable terms and avoiding litigation.
- Represented many clients in the healthcare industry, including physicians.
- Represented clients in sale, purchase and/or lease transactions involving commercial, industrial and residential properties.
- Represented numerous clients in offerings ranging from several hundred thousands to several millions of dollars.
- Obtained abatements and reductions of sales tax assessments by Texas Comptroller of Public Accounts on behalf of numerous clients.
- Advises clients how to minimize state tax consequences of their proposed transactions.
